National Surgical Care, Inc. is a leading Ambulatory Surgery Center company that operates a network of 19 surgery centers in 11 states which will conduct, in aggregate, approximately 80,000 cases per year. The Company’s surgery centers provide non-emergency surgical procedures across a broad range of specialties including orthopedics/spine, ophthalmology, pain management, gastroenterology and otolaryngology. The Company operates these centers in partnership with 407 leading physicians around the United States. NSC has developed an operating model that makes it an attractive partner for physicians. First, the Company is focused on employing a collaborative decision making process with its physician partners designed to foster strong physician partner relationships. Second, NSC adopts staffing, scheduling and clinical systems, and protocols that increase overall physician productivity and optimize profit margins.

Background to the Transaction

In 2002, John Carlyle, a Brazos healthcare management partner, introduced Brazos to the three co-founders of NSC. Having previously built, taken public via an IPO, and successfully sold an ambulatory surgery center business, the co-founders were eager to join with a new partner to build a new company. Together with JP Morgan Partners, (now CCMP), Brazos provided the co-founders with equity capital to pursue their vision of building a leading ambulatory surgery company via a buy-and-build strategy. Mr. Carlyle, with over 20 years of board-level and executive officer experience in the healthcare industry, invested alongside Brazos, and currently serves on the board.
